EduMotionAI provides enterprise AI learning platform technology for educational institutions and training organisations. Platform outcomes depend on implementation, learner context and institutional support — we do not guarantee specific grades, licensure or employment. Analytics and assessment features assist educators; they do not replace professional judgment. We are not a marketing agency, web studio, IT outsourcing firm or generic course marketplace.
1. Agreement to terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and EduMotionAI Inc. ("EduMotionAI", "we", "us" or "our") governing your access to and use of the edumotionai.pro website and, where applicable, our enterprise AI learning platform and related services. By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our website or services.
Institutional clients using our platform under separate enterprise agreements are also subject to the terms of their executed contract, which prevail over these Terms to the extent of any conflict regarding platform use.
2. Description of services
EduMotionAI provides enterprise artificial intelligence learning platform technology, including adaptive learning pathways, intelligent tutoring systems, AI student analytics, automated assessment engines and related professional services to educational institutions, school districts, universities and corporate training organisations. Our services are B2B ed-tech offerings — not consumer marketing services, web design, IT outsourcing or generic online course catalogues.
3. Eligibility and account registration
Our website is intended for institutional decision-makers, educators, instructional designers and other professionals in the education sector. Platform accounts are provisioned through institutional agreements. You represent that you have authority to bind your organisation when submitting enquiries or entering contracts on its behalf. You are responsible for maintaining the confidentiality of account credentials and for all activities under your account.
4. Acceptable use
You agree to use our website and platform only for lawful purposes and in accordance with these Terms. You must not:
- Use our services in any manner that violates applicable federal, provincial or local laws.
- Attempt to gain unauthorised access to our systems, networks or other users' accounts.
- Interfere with or disrupt the integrity or performance of our platform.
- Reverse engineer, decompile or disassemble platform software except as permitted by law.

You may not reproduce, distribute, modify or create derivative works without our prior written consent.
Institutional clients receive limited licences to use platform software as specified in their enterprise agreements. Learner-generated content and institutional curriculum materials remain the property of the respective institution or author.
6. Platform outcomes and disclaimers
EduMotionAI provides technology tools that support educators in delivering personalized learning, adaptive instruction and data-informed decision-making. We do not guarantee specific student grades, professional licensure, employment placement or universal adoption results. Learning outcomes depend on implementation quality, learner readiness, institutional support and educator engagement.
Analytics dashboards, automated assessments and intelligent tutoring features are designed to assist — not replace — qualified educators and professional judgment. Institutions remain responsible for instructional decisions, grading authority and compliance with applicable education regulations.
Platform availability targets are described in enterprise SLA agreements. We strive for 99.4% uptime but do not warrant uninterrupted or error-free operation of the website or platform.
7. Fees and payment
Pricing for enterprise programmes and services is quoted in Canadian dollars (CAD) and specified in proposals and contracts. Payment terms, invoicing schedules and renewal conditions are governed by individual agreements. Website content describing price ranges is illustrative and not a binding offer.
8. Privacy
Your use of our website and services is subject to our Privacy Policy, which describes how we collect, use and protect personal information under PIPEDA. By using our services, you consent to data practices described in that policy.
9. Third-party services and links
Our platform may integrate with third-party learning management systems and service providers. We are not responsible for the content, privacy practices or availability of third-party services. Links on our website to external sites are provided for convenience and do not constitute endorsement.
10. Limitation of liability
To the maximum extent permitted by applicable law, EduMotionAI Inc. and its directors, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or business opportunity, arising from your use of our website or platform.
Our total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you to EduMotionAI in the twelve months preceding the claim, or C$1,000 if no fees have been paid.
Some jurisdictions do not allow limitation of certain damages; in such cases, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify and hold harmless EduMotionAI Inc. from claims, damages, losses and expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of our platform or infringement of third-party rights.
12. Termination
We may suspend or terminate your access to our website or platform at any time for violation of these Terms or as specified in enterprise agreements. Upon termination, provisions regarding intellectual property, limitation of liability, indemnification and governing law survive.
13. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for resolution of disputes arising from these Terms, subject to mandatory consumer protection provisions where applicable.
14. Dispute resolution
Before initiating formal proceedings, parties agree to attempt good-faith resolution through direct negotiation. Enterprise clients may have additional dispute resolution procedures specified in their contracts.
15. Modifications
We may revise these Terms at any time by posting updated terms on this page with a revised "Last updated" date. Material changes affecting institutional clients will be communicated through account representatives where practicable. Continued use after changes constitutes acceptance of revised Terms.
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
17. Entire agreement
These Terms, together with our Privacy Policy, Cookie Policy and any applicable enterprise agreement, constitute the entire agreement between you and EduMotionAI regarding website use. Enterprise platform agreements supersede these Terms for contracted services.
